Stadioplus operates this website on behalf of and in collaboration with La Liga, a private association by virtue of the provisions laid down under articles 12 and 41 of the Spanish Sports Act. Your Agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Site. If you disagree with being bound by these terms and conditions, then you should stop using the website immediately.

We reserve the right to make changes, modifications, amendments and updates to the terms in the Terms and conditions from time to time and for any reason by posting such changes in this document, which you can access at any time by visiting our website. You acknowledge and agree that you shall be responsible for reviewing this Agreement from time to time for changes and that changes to this Agreement shall be effective when posted. By continuing to use the Service after We have posted any such changes in the Terms and Conditions, you agree to be bound by all of the Terms and Conditions, as amended, concerning your use of LaLigaland following the posting of such changes.

PLATFORM OWNERSHIP

You acknowledge and agree that StadioPlus, Vegas City and LaLiga own all rights, titles and legal interests in and to all Platform elements. The graphics, design, systems, methods, information, computer code, software, services, “look and feel,” organization, a compilation of content, code, data and all other elements of the Platform (collectively, the “LaLigaLnad Materials”) are property of Stadioplus, Vegas City and LaLiga. They are protected by copyright, trade dress, patent and trademark laws, international conventions, other relevant intellectual property and proprietary rights and applicable laws. All LaLigaLand Materials are the copyrighted property of LaLiga or its licensors, and all trademarks, service marks and names of commercial content contained in the LaLigaLand Materials are the property of LaLiga or its licensors.

The User recognizes that the reproduction, distribution, marketing, transformation and, in general, any other method of exploitation, using any procedure, of all or part of the contents of this LaLigaLand is a breach of the intellectual and/or industrial rights of the company or the holder of the same. Except as expressly set forth herein, your use of the Platform does not grant you ownership or any other rights in or to any content, code, data or other materials you may access on or through the Platform. Users, however, may only for non-commercial use, retrieve, display and view the content in this section and do not have permission to reproduce, modify, copy, distribute or use for commercial purposes any content without the written consent of Stadioplus.

NFTs AND ASSOCIATED RISKS

By using this Platform, you acknowledge understanding that this Platform is blockchain and NFT-based. Purchasing a season pass will essentially grant access to an NFT, allowing users access to the various benefits described in the “Season Pass” section.

For the avoidance of doubt, “NFT” means any non-fungible token with blockchain trackings, such as those that meet the ERC-721 and BEP721 standards. “Own” means, with respect to an NFT, an NFT that you have legitimately purchased or acquired from a legitimate source, where proof of such purchase is recorded on the blockchain correspondent. In this case, ownership of the NFT will be acquired by purchasing the season ticket pass to LaLigaLand.

You also consent to understand the various risks associated with the NFT sector. You consent to recognize that the service tokens and NFTs you might encounter in LaLigaLand may be of high risk, including losing their value or liquidity entirely or not being redeemable for the described Service in the event of a project failure or interruption by Stadioplus. You are informed that the NFTs you acquire will not be held in custody by entities legally authorized to provide investment services, and the registration technology that is planned to be used (blockchain) is new and may entail significant risks. The User of the crypto assets is solely responsible for the consent of this white paper on the issuance of tokens. This has not been reviewed or approved by any authority of any member state of the European Union.

By continuing to use the Platform, you consent to have read and understood the legal risks contained in the attached link.

SEASON PASS

The initial price of the VIP Season pass shall be USD 59,99, available for purchase in ETH or via credit card, has an initial release date of December 20, 2022. The company shall, however, issue unlimited presales for USD 29,99, 39,99 and 49,99; This VIP season pass will be sold exclusively by Stadioplus and users who purchase them will be entitled to the following.

1. Users will be able to access presale for limited LaLigaland collections.
2. Users will have access to LaLigaland events
3. Airdrops will be made to users giving alerts to possible presales and special offers for merchandise and NFTs.
4. In the future and once developed, users will receive wearable devices for each event held to improve and make their experiences more exciting.
5. Purchasing the VIP season pass in the first instance will give users access to a special discount for the season pass renewal.
6. Users will have access to exclusive Discord info news and early birds for dynamic raffles, amongst other eventual future features.
7. The Site will have exclusive areas that will only be accessible to holders of the VIP season pass. The VIP tower will be one of such exclusive areas, and the Fan Zone will have unique features that will be accessible to regular season ticket holders.
8. Special NFT uploads at the museum will be exclusive and only available to season ticket holders.

You agree to pay the season pass fee and any applicable Taxes incurred in connection with your access to the appropriate Service at the rates in effect when the charges were incurred.  We may change the Fees or add new Fees upon prior notice to you, either by email or by publishing the changes on the Site pages for the applicable Service.  You acknowledge and agree that you shall be responsible for reviewing the applicable Service’s schedule of Fees from time to time for changes. You further agree that changes shall be effective as outlined in the applicable notice.

We may contract with other third parties concerning the sale of the season pass and operations of the Services. For any purchases made via the Site, you agree to pay any third party contracted by Us any taxes imposed on the sale of subscriptions or other products or services via the Service for remission to appropriate taxing authorities.  If you purchase the season pass using your account with a third-party app store (e.g., Apple App Store, Google Play), your purchase will be billed by that third-party app store. It will be subject to the additional terms and conditions governing making purchases via such a store.

REFERRALS

Influencers will get a unique referral code upon being signed up by the Platform if the Platform determines so. This unique code will allow influencers to share the Platform with their communities and derive benefits.

The code will also incorporate a unique tracking code to evaluate and monitor the sales each influencer has achieved in order to calculate the benefits they are entitled to. The benefits will be calculated based on sales of the season pass. LaLigaLand will give each User 10 percent of the sales they deliver. Referrers will be able to see their entitlements on their personalized dashboard, which will be accessible at all times, pending any temporary technical failures.

Influencers seeking to derive benefits from the influencer program will be expected to submit their crypto wallets to be entitled to the payments LaLigaLand will make.

Additionally, to be entitled to receive referral benefits, an influencer must ensure that his content has secured a value of USD 10. This in order to protect that transaction gas an ensure that the value of the influencer’s accumulated sum at least marginally exceeds the transaction gas costs.

PROHIBITED USE

• Users are not permitted to use the website in any way that causes or may cause damage or interfere with another person’s enjoyment of the website.
• Users may not use the website in any way which is harmful, unlawful, illegal, abusive, threatening mental order.
• Users may not make, transmit or store electronic copies of content protected by copyright without the written permission of the owner.

DISCONTINUATION OF SUBSCRIPTION

Purchase of the VIP Season Pass shall be nonrefundable. Users may decide to no longer have access to LaLigaLand, in which case the remedy available will be to sell the NFT which grants access to LaLigaLand. Once ownership of the season pass is transferred, access to LaLigaLand will be lost and can be renewed upon the purchase of a new VIP season pass.

ALL SALES ARE FINAL.  WE DO NOT GIVE FULL OR PARTIAL REFUNDS FOR SUBSCRIPTIONS YOU PURCHASED, REGARDLESS OF THE BASIS FOR THE REFUND REQUEST.

You are also responsible for any fees or charges incurred to access the Service through an Internet access provider or another third-party service, including any mobile data charges or other fees charged by your wireless carrier if you access the Service via a mobile device.

REVOCABILITY

In addition to any other remedies available to us, whether in equity, at law or otherwise, upon your failure to comply with any of the terms or conditions in these Terms and Conditions, Stadioplus reserves the right to terminate your access to any Service and this Agreement immediately. We further reserve the right to discontinue, suspend, terminate or change any Services and their availability to you at any time.  Suppose we terminate this Agreement or discontinue any of your Season pass for cause (for example, due to your breach of this Agreement). In that case, you will not receive any refund or partial refund for any charges or fees already incurred by or billed to you, and we reserve all other rights available to us in connection with your breach.

APPLICABLE LAW AND JURISDICTION  

This Agreement and any disputes relating to it and the Service will be governed by the laws of the Kingdom of Spain without regard to its principles of conflicts of laws. Use of this Service is not authorized in any jurisdiction that does not give effect to this Agreement. This Agreement is personal to you, and you may not assign your rights or obligations to anyone. Without notice, we may assign Our rights and obligations under this Agreement to any successor in interest or another assignee of Stadioplus or LaLiga. This Agreement shall be binding on and inure to the benefit of the successors and permitted assigns of Stadioplus or LaLiga. You may not modify the terms and conditions contained in this Agreement except in writing duly signed by you and an authorized representative of LaLiga. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.  Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. A waiver by us of any right hereunder shall not be deemed a waiver of such right in any subsequent instance.
